10.01 |
Passing, Amendment or Repeal of By-laws. A by-law of the Association may be passed only at an Annual Meeting of the Members and by the affirmative votes of at least two-thirds (2/3) of the Members present and voting on a resolution therefore provided that:
(a) |
the text of a proposed by-law shall be submitted to the Executive Director in writing, at least sixty (60) days before any Annual Meeting of Members at which it is to be considered, either by resolution of the Council, or by a requisition signed by at least twenty-five (25) Members; and |
(b) |
a notice of the Meeting of Members at which the proposed by-law is to be considered shall be sent to the Members in accordance with Section 3.03; this notice shall include the text of the proposed by-law. |

10.02 |
Duty of Executive Director on Receipt of a Requisition. Upon receipt of a requisition or resolution and the text of a proposed by-law as mentioned in Section 10.01(a), the Executive Director shall include the text of the proposed by-law in and with the notice of the first (1st) Annual Meeting of Members to be held not sooner than sixty (60) days following receipt of the requisition or resolution. |
10.03 |
Withdrawal of Proposal of a By-law. At any time up to forty (40) days before the Meeting of Members at which a proposed by-law is to be considered:
(a) |
by further resolution, the Council may withdraw its proposal therefore; or |
(b) |
by a statement in writing to that effect signed by a majority of the Members who signed the requisition mentioned in Section 10.01(a), the requisition shall be deemed to be withdrawn; and thereafter the proposed by-law shall not be further considered and shall not be passed. |

10.04 |
Observance of Section 7 of the Act. Notwithstanding the passing of any by-law pursuant to this Article 10, no such by-law shall come into force until the fulfillment of the provisions of Section 7 of the Act. |
